These terms govern your use of ShowPrompt software and services. Please read them before downloading or using ShowPrompt.
These Terms of Service ("Terms") govern your access to and use of ShowPrompt software and associated services (collectively, "ShowPrompt"), operated under the trading name ShowPrompt, contactable at support@showprompt.net.
By downloading, installing, or using ShowPrompt — whether on the Free tier or a paid subscription — you confirm that you have read, understood, and agree to be bound by these Terms. If you are using ShowPrompt on behalf of a business or organisation, you confirm that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not download or use ShowPrompt.

ShowPrompt is browser-based software designed for live production environments. It runs locally on your own hardware — typically a laptop or server on a local network — and is accessed by connected display screens via a standard web browser. ShowPrompt does not require an internet connection during active use.
ShowPrompt is provided as a subscription-based software service (SaaS). You do not purchase or own the software itself. Instead, ShowPrompt grants you a time-limited licence to use the software for as long as your subscription remains active (or, in the case of the Free tier, indefinitely subject to these Terms).
Access to paid features is controlled via a licence key issued to you upon subscription. This key must be entered once within the ShowPrompt application. The key validates periodically via an online check; ShowPrompt is designed to continue operating for up to 35 days without an internet connection, providing resilience in live production environments.
ShowPrompt is provided in a "as available" state and is subject to ongoing development. Features may be added, modified, or removed over time. ShowPrompt will endeavour to communicate material changes in advance.
ShowPrompt is available under three licence tiers. Each tier grants a specific set of features and display limits:

All licences are issued on a per-installation basis. A licence key is valid for a single ShowPrompt installation and may not be transferred to another person or organisation, sub-licensed, or resold. Contact support@showprompt.net if you need to migrate a licence to a different device.
Use of ShowPrompt beyond the limits of your current tier is not permitted. ShowPrompt reserves the right to enforce tier limits technically and to suspend access where misuse is detected.
All payments for ShowPrompt paid subscriptions are processed by Lemon Squeezy (lemonsqueezy.com), who act as the Merchant of Record for all transactions. This means Lemon Squeezy handles payment processing, invoicing, VAT and tax collection, and compliance with applicable consumer protection regulations on behalf of ShowPrompt.
Paid subscriptions are available on a monthly or annual billing cycle, as selected at the point of purchase. Subscriptions renew automatically at the end of each billing period unless cancelled in advance. You will receive a renewal reminder before annual renewals.
Prices displayed on showprompt.net are shown excluding VAT unless otherwise stated. Lemon Squeezy will calculate and apply applicable VAT or sales tax at checkout based on your location and local tax rules. The final price inclusive of tax is shown before payment is confirmed.
You are responsible for ensuring that your payment details remain current and accurate. If a payment fails, ShowPrompt will enter an offline grace period of up to 35 days, during which paid features will continue to function. After the grace period, feature access will revert to the Free tier until payment is resolved. You will be notified by email if a payment fails.
ShowPrompt is not VAT-registered as a direct entity. All tax obligations arising from your subscription are managed by Lemon Squeezy as Merchant of Record.
You may cancel your ShowPrompt subscription at any time, without penalty. Cancellations are managed via your Lemon Squeezy customer portal, a link to which is included in your original purchase confirmation email and accessible at lemonsqueezy.com.
Upon cancellation, your paid access will continue until the end of the current billing period that has already been paid for. ShowPrompt does not prorate or refund the unused portion of a billing period following cancellation, except where required by applicable law (see Section 6 — Refunds).
After your paid access expires, your installation will revert to the Free tier. Your show files and settings stored locally on your device will not be deleted.
If you wish to permanently delete your account or request the removal of any associated personal data, please contact support@showprompt.net.
ShowPrompt's refund policy is covered in full in the separate Refund Policy, available at showprompt.net/refund. The Refund Policy forms part of these Terms and is incorporated by reference.
As a general summary: UK consumers purchasing a digital service have a statutory right to cancel within 14 days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Where a customer has not yet accessed or activated the paid service (i.e. has not entered or used a licence key), a full refund will be provided within this 14-day cooling-off period.
Where a customer has accessed or activated the digital service within the 14-day period, the right to cancel may be waived. ShowPrompt operates a goodwill refund policy for first-time subscribers and will assess refund requests on a case-by-case basis. Refunds are not available for renewal payments or for partial billing periods except where required by law.

You agree to use ShowPrompt only for lawful purposes and in accordance with these Terms. In particular, you agree that you will not:
ShowPrompt reserves the right to suspend or terminate access for any user found to be in breach of these acceptable use requirements, without refund.
ShowPrompt and all associated software, code, interfaces, branding, documentation, and content are the intellectual property of ShowPrompt and are protected by copyright, trademark, and other applicable laws. All rights not expressly granted in these Terms are reserved.
Your subscription grants you a personal, non-exclusive, non-transferable, revocable licence to use ShowPrompt for your own internal production purposes. Nothing in these Terms transfers any ownership of ShowPrompt's intellectual property to you.
Your content: ShowPrompt does not claim ownership of any content you create using the software. Running orders, cue lists, show files, timing schedules, and any other data you input into or generate using ShowPrompt remain your property. ShowPrompt does not store, process, or access this content on its servers.

ShowPrompt is provided "as is" and "as available", without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, ShowPrompt makes no representations or warranties regarding the fitness of the software for a particular purpose, its uninterrupted availability, or the absence of errors or defects.
ShowPrompt is intended for use in professional live production environments. You are responsible for testing and validating the software for your specific use case before relying on it in critical or live situations. ShowPrompt strongly recommends that users maintain appropriate technical fallbacks for any safety-critical or time-critical production functions.
To the fullest extent permitted by law, ShowPrompt's total liability to you for any claim arising out of or relating to these Terms or your use of the software — whether in contract, tort (including negligence), or otherwise — shall not exceed the total amount you have paid to ShowPrompt in the twelve (12) calendar months preceding the event giving rise to the claim.
ShowPrompt shall not be liable for any indirect, incidental, consequential, special, or punitive losses, including but not limited to: loss of revenue or profit, loss of data, loss of production, reputational damage, or any losses arising from third-party claims.

ShowPrompt's collection and use of personal data is governed by its Privacy Policy, available at showprompt.net/privacy. The Privacy Policy forms part of these Terms and is incorporated by reference. By using ShowPrompt, you agree to the practices described in the Privacy Policy.
The ShowPrompt application itself runs locally on your hardware. Show data — including running orders, cue lists, speaker information, timing data, and any other content you create or manage within ShowPrompt — is stored locally on your device and is not transmitted to ShowPrompt's servers.
Licence key validation requires periodic outbound contact with ShowPrompt's licence servers. This process transmits only the licence key and installation identifier — no show data or personal production content is included in these requests.
Personal data collected during account creation and subscription (such as your name, email address, and billing information) is processed by Lemon Squeezy as part of the payment and account management process, in accordance with their own privacy policy and applicable data protection law.
ShowPrompt complies with applicable data protection legislation, including the UK GDPR and Data Protection Act 2018. For any data-related enquiries or requests, contact support@showprompt.net.
ShowPrompt reserves the right to update or modify these Terms at any time. When changes are made, the updated Terms will be published at showprompt.net/terms with a revised "last updated" date. Where changes are material, ShowPrompt will endeavour to notify active subscribers via the email address associated with their account, or via a notice on the website.
If you continue to use ShowPrompt more than 30 days after a revised version of these Terms is published, your continued use will be taken as acceptance of the updated Terms. If you do not agree to the revised Terms, you should cancel your subscription before the 30-day period expires.
ShowPrompt will not make retroactive changes that reduce your existing rights without giving you the opportunity to cancel. Any changes that significantly affect your subscription or rights will be communicated with reasonable notice.

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
